Registering your Limited Liability Partnership (LLP) on the Ministry of Corporate Affairs (MCA) portal is essential to legally establish your business in India. LLP registration ensures that your business operates with a legal identity, providing limited liability protection to partners. Follow these steps to ensure a smooth and successful registration process:

1. Obtain Digital Signature Certificate (DSC)

All designated partners must acquire a DSC, as it is required to sign documents electronically on the MCA portal. Apply for a DSC through a certified authority by submitting proof of identity and address.

2. Apply for Director Identification Number (DIN)

Each designated partner needs a DIN, which can be obtained during the LLP registration process. If not pre-issued, you can apply via Form DIR-3 on the MCA portal with valid identification and address proof.

3. Reserve Your LLP Name

Choosing a unique name is critical for LLP registration. Use the “RUN-LLP” service on the MCA portal to check name availability. Ensure the name adheres to MCA naming guidelines to avoid rejection.

4. File Form FiLLiP for Incorporation

FiLLiP (Form for Incorporation of LLP) is the primary form for LLP registration. Log in to the MCA portal and provide details about the LLP’s partners, registered office, and business activities. Attach documents such as consent letters, address proofs, and utility bills, and pay the prescribed fee.

5. File the LLP Agreement

Submit Form 3 within 30 days of incorporation to finalize the LLP registration process. The agreement outlines partner roles, profit-sharing ratios, and operational terms.

6. Receive Certificate of Incorporation

After verification, the Registrar of Companies (RoC) issues the Certificate of Incorporation, signifying the successful completion of your LLP registration.
